1. The service, provider and these Terms
Sarmis is provided by UberPixel SRL, CUI 37625688, registered in Romania (“Sarmis”, “we”, “us”). These Terms govern use of the Sarmis website, Gmail experience, dashboard, AI routines, reporting, connected services and support.
By creating an account, installing Sarmis or using the service, you agree to these Terms. If you act for an organization, you confirm that you have authority to bind it. A signed order form, data-processing agreement or other commercial agreement may add or replace terms and prevails if there is a conflict.
2. Accounts and authorized users
Sarmis is intended for business users who are legally able to enter into an agreement. You must provide accurate account information, protect your credentials and use Sarmis only with accounts and systems you are authorized to connect.
You are responsible for activity under your account and must promptly report suspected unauthorized access. Do not share passwords, authentication codes or access links outside the people authorized to use them.
3. Organization workspaces
Workspace owners control membership, roles, departments, routines and reporting access. An organization is responsible for removing access when it is no longer appropriate and for configuring approvals according to the risk of each action.
The customer must have a lawful basis and any required notices or policies before connecting work accounts, using work communications or making personal, team or company reports available. For connected mailbox and workspace information, the customer — an organization or a professional using Sarmis for work — is the controller. UberPixel SRL acts as processor only for the limited information that reaches Sarmis services, under the customer’s documented instructions and the applicable data-processing agreement.
4. Acceptable use
You may not use Sarmis to break the law or third-party rights, distribute malware, send unlawful or abusive communications, gain unauthorized access, bypass security controls, conduct surveillance, or interfere with the service. You may not present unreviewed AI output as verified professional advice or use Sarmis for decisions with legal or similarly significant effects without an appropriate legal basis, safeguards and human review.
You must have the rights and permissions needed for the data, recipients, accounts and connected services used with Sarmis.
5. Customer content and confidentiality
You and your organization retain rights in content used by Sarmis. Mailbox operations take place inside your connected work account. UberPixel cannot open or browse that mailbox through Sarmis.
Only the limited information described in the Privacy Policy — such as context needed for a specific AI task and organization-reporting data — is processed by Sarmis services and contracted providers in the European Economic Area under the customer’s instructions.
Mailbox content is not sold, used for advertising or used by UberPixel SRL to train general AI models. Our handling of personal data is described in the Privacy Policy.
You are responsible for the legality, accuracy and appropriateness of your instructions, content, recipients and approvals. We will treat customer content as confidential and limit access as described in the Privacy Policy and applicable agreement.
6. AI output, routines and human approval
Sarmis may classify information, create drafts, suggest actions and run configured routines. AI output can be incomplete or inaccurate and is not legal, financial, medical or other professional advice.
You remain responsible for reviewing important output and setting approval requirements that match the risk of the action. If an organization enables automated execution, that organization remains responsible for the instruction, permissions, recipients and result.
7. Connected services and marketplaces
Sarmis may connect to email, calendar, messaging, storage and other services selected by the user. Those providers control their own availability, security, terms and privacy practices. Sarmis can act only within the permissions you grant, and you can revoke those permissions through the relevant provider or Sarmis settings.
Installation through Google Workspace Marketplace, Chrome Web Store or another marketplace may also be subject to that marketplace’s terms. Uninstalling or revoking access stops future use of that provider connection immediately. It does not by itself delete the separate Sarmis account, so an account-deletion request may still be required. Account and data requests are handled under the Privacy Policy.
8. Plans, usage and fees
Available features, usage limits, billing periods, taxes and payment terms are described in the selected plan, order form or commercial agreement. Unless that agreement states otherwise, paid fees are non-refundable except where required by law.
We may change plans or features. We will give reasonable notice when a change materially affects an active paid subscription.
9. Sarmis intellectual property
UberPixel SRL and its licensors retain rights in Sarmis, its software, design, documentation, supplied routines, models and related technology. During an active account or subscription, you receive a limited, non-exclusive, non-transferable right to use the service for your internal business purposes.
You may provide feedback. We may use it to improve Sarmis, provided that doing so does not disclose or identify confidential customer content.
10. Availability and changes to the service
Sarmis depends in part on connected providers and AI services. We do not guarantee uninterrupted availability of third-party systems or that every AI output will be correct. Service commitments in a signed commercial agreement take priority where applicable.
We may update, add or remove functionality to improve security, comply with law or evolve the product. We will provide reasonable notice where a material change adversely affects an active paid service.
11. Suspension, termination and data
You may stop using Sarmis or terminate according to your plan or agreement. We may suspend access where reasonably necessary to protect users or the service, prevent misuse, comply with law or address overdue payment, and will provide notice when reasonably possible.
When a provider connection is revoked, future Sarmis access to that account stops immediately. Your messages and drafts remain with that provider, and UberPixel has no separate mailbox archive.
After a verified account-deletion request or termination, Sarmis service data held by UberPixel — including account settings, routines and reporting records — is deleted without undue delay and no later than 30 days. Financial records are retained only where Romanian law requires it, currently for 5 years calculated from 1 July of the year following the relevant financial year. Any longer retention applies only where a binding legal obligation or active legal claim requires it.
12. Disclaimers and liability
To the extent permitted by law, Sarmis is provided without warranties beyond those expressly stated in a signed agreement. Users remain responsible for reviewing important AI output and for recipients, approvals, instructions and business decisions made through their workspace.
Any liability limits in a signed order or commercial agreement take priority. Where no separate agreement applies, UberPixel SRL’s aggregate liability is limited to the amount paid for Sarmis during the 12 months before the event giving rise to the claim, to the extent permitted by law. Mandatory rights that cannot legally be limited remain unaffected.
13. Governing law, contact and changes
Unless a signed agreement states otherwise, these Terms are governed by Romanian law and disputes are subject to the competent Romanian courts, without affecting mandatory rights that cannot be excluded.
